Introduction
These Terms and Conditions govern your use of the website operated by Ultimat Limited (“we”, “our”, “us”) and the purchase of picture framing services and products from us.

By accessing our website, placing an order with us, or using our services, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, please do not use our website or services.

Definitions

Customer, you, or your refers to the individual or organisation accessing our website or purchasing our products or services.
Order means a request by you to purchase products or services from us.
Products means picture frames, mounting materials, glass, and other related items.
Services means picture framing, mounting, glass cutting, and other related services.

Orders and Contract Formation
All orders placed by you constitute an offer to purchase products or services from us. No order shall be deemed to be accepted by us until we confirm acceptance by sending an order confirmation by email. The contract between us will only be formed when we send you this confirmation. We reserve the right to refuse any order placed by you at our sole discretion. You are responsible for ensuring that the terms of your order and any applicable specifications are complete and accurate.

Price and Payment
The price of the products and services will be as quoted on our website or as agreed through direct communication. All prices are in British Pounds (GBP) and include VAT at the current rate. We reserve the right to change prices at any time, but price changes will not affect orders for which we have already sent you a confirmation. Payment for all products and services must be made in advance, unless we have agreed to alternative payment terms in writing. We accept payment by Bank Transfer, Credit/Debit Card. For custom framing services, we may require a deposit before commencing work.

Delivery and Collection
We will deliver the products to the location set out in your order or you may collect the products from our premises. Any dates quoted for delivery or collection are approximate only. We will not be liable for any delay in delivery or collection. Delivery charges will be as quoted on our website or as advised during the order process. You are responsible for inspecting the products upon delivery or collection. Any damages or discrepancies must be reported to us within 48 hours.

Custom Framing Services
For custom framing services, we will work to the specifications agreed with you at the time of order. We will exercise reasonable care when handling your artwork or items for framing. However, you acknowledge that all items are left with us at your own risk. We reserve the right to refuse to frame any item that we consider unsuitable for framing or that may infringe on intellectual property rights. Once work has commenced on a custom frame, cancellations may incur charges for materials and labour already used.

Quality and Standards
We warrant that all products and services will:

• Conform to their description
• Be of satisfactory quality
• Be fit for any purpose we state or that you have made known to us
• Be carried out with reasonable care and skill

These warranties are in addition to your statutory rights as a consumer.

Returns and Refunds
For standard products, you have the right to cancel your order within 14 days of receiving the goods without giving any reason. Custom-made frames, specially ordered materials, or bespoke items are excluded from the right to cancel, except in cases of defect or non-conformity. To cancel your order, you must inform us of your decision in writing. If you cancel your order, you must return the products to us without undue delay and not later than 14 days from the day on which you communicate your cancellation. We will refund all payments received from you, including the costs of delivery (except for supplementary costs arising if you chose a type of delivery other than the least expensive type of standard delivery offered by us). We may make a deduction from the refund for loss in value of any goods supplied, if the loss is the result of unnecessary handling by you.

Intellectual Property Rights
All content on our website, including text, graphics, logos, images, and software, is the property of Ultimat Limited or our content suppliers and is protected by UK and international copyright laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent.

Liability
Nothing in these Terms and Conditions excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any breach of the obligations implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982
• Any other liability that cannot be excluded or limited by English law

Subject to the above, we will not be liable for:

• Any loss or damage caused by us or our employees or agents in circumstances where there is no breach of legal duty owed to you by us
• Any loss of business, loss of profit, loss of anticipated savings, or any special, indirect, or consequential damage
• Any damage to items submitted for framing except where caused by our negligence

Our total liability to you shall not exceed the amount paid by you for the products or services.

Events Outside Our Control
We will not be liable for any failure or delay in performing our obligations where that failure or delay results from any cause beyond our reasonable control (Force Majeure Event). If a Force Majeure Event occurs, we will contact you as soon as reasonably possible to notify you.

Changes to Terms and Conditions
We may revise these Terms and Conditions from time to time. The Terms and Conditions that apply to your order are those in force at the time you place your order.

Complaints
If you have a complaint about our products or services, please contact us using the details provided above. We will aim to respond to any complaint within 5 working days and to resolve any complaint within 14 working days.

General
If any provision of these Terms and Conditions is held by any court or other competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions and the remainder of the provision in question shall not be affected. No waiver by us of any breach of these Terms and Conditions by you shall be considered as a waiver of any subsequent breach. A person who is not a party to these Terms and Conditions shall not have any rights under or in connection with them. These Terms and Conditions, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with English law, and the courts of England and Wales shall have exclusive jurisdiction.
